Terms of Service

The terms that apply when an organisation and its users access Venus fleet software, mobile apps, APIs and related services.

01Agreement

These terms govern use of the Venus platform operated by Trackalways Africa (“we”, “us”). By signing in or using the platform you agree to them on behalf of yourself and the organisation that gave you access (the “customer”).

If the customer has a signed service agreement, order form or quotation with us, that document takes priority over these terms where they differ.

02Accounts and access

  • Customer administrators create users, assign roles and decide which accounts, vehicles and features each user can see.
  • Keep sign-in details confidential and do not share accounts. You are responsible for activity under your credentials.
  • Tell us promptly at the contact below if you suspect unauthorised access.

03Customer responsibilities

  • Use the platform only for lawful fleet, asset, passenger and logistics operations.
  • Have a lawful basis to track vehicles, drivers and passengers, and give the notices and obtain the consents the law requires, including for video recording and biometric attendance.
  • Keep account information, contacts and vehicle details accurate.
  • Review alerts and data before acting on them. Location, fuel, video and other readings depend on device hardware, installation, GPS and mobile network coverage.

04Acceptable use

You must not:

  • track a person or vehicle without the authority to do so, or use the platform to stalk, harass or unlawfully monitor anyone;
  • attempt to access another customer’s data, bypass access controls or probe the platform for vulnerabilities without our written permission;
  • reverse engineer, copy, resell or sublicense the platform except as your agreement allows;
  • overload or disrupt the service, including through automated requests beyond documented API limits;
  • upload unlawful content or malicious code.

05Subscriptions and licences

Access is provided per device or feature licence (for example tracking, fuel, video or advanced modules) for the period in your plan, including any trial. Features tied to a licence stop when it expires unless it is renewed. Fees, invoicing and payment terms are set out in your quotation or service agreement.

06Devices, SIMs and connectivity

Tracking devices, sensors, dashcams and SIM cards may be supplied by us, a partner or the customer. Data reaches the platform over third-party mobile networks; coverage gaps, device power loss, tampering or faulty installation can delay or interrupt data. Hardware warranties and installation are covered by the relevant supply agreement.

07Your data

The customer owns the fleet data it puts into or generates on the platform. We process it to provide the service as described in our Privacy Policy, and we may use aggregated, de-identified statistics to operate and improve the platform. Customers can export their data through reports and exports while their subscription is active.

08APIs and integrations

API keys are issued by our team to authorised customers. Keep keys secret, use them only for your own integrations, and respect rate limits. We may revoke a key that is misused or exposed.

09Availability and support

We work to keep the platform available and secure. Planned maintenance and urgent security or reliability work may briefly affect availability, and we aim to schedule planned work outside peak hours. Features may be improved, replaced or retired over time; we will give reasonable notice before removing a feature you pay for. Support is available through the contact below and any channels in your agreement.

10Third-party services

Some features rely on third-party services such as maps, geocoding, email and SMS delivery, push notifications and the optional AI assistant. Their availability can affect those features, and their own terms may apply.

11Intellectual property

The platform, software, designs and documentation belong to us or our licensors. Your subscription gives you a non-exclusive, non-transferable right to use them during the term for your internal operations. Feedback you give us may be used to improve the platform.

12Disclaimers and liability

The platform supports fleet decisions but does not replace driver responsibility, emergency services or safety procedures. To the extent the law allows, the service is provided “as is”, and we are not liable for indirect or consequential losses such as lost profits, or for losses caused by devices, networks or third-party services outside our control. Our total liability is limited as set out in your service agreement or, if none, to the fees paid for the service in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

13Suspension and termination

We may suspend access to protect the platform or other customers, for serious or repeated breach of these terms, or for unpaid fees after notice. Either party may end the service as set out in the agreement. On termination the customer may request an export of its data within a reasonable period, after which it will be deleted in line with our retention practices.

14Governing law

These terms are governed by the laws of Kenya. The parties will first try to resolve disputes in good faith; unresolved disputes go to the courts of Kenya unless the service agreement says otherwise.

15Changes to these terms

We may update these terms. The new version will be posted here with a new effective date, and customer administrators will be told about significant changes before they take effect. Continued use after that date means acceptance.
